Book on Company Law released

A book titled Principles and Practice of Company Law in Sri Lanka, by
Ruwani Dharmawardana was launched at the Dean's office of the Faculty of
Law, University of Colombo recently.
Ruwani obtained her Bachelors' degree in Law from the University of
Colombo in 2003 and qualified as an Attorney-at-Law from the Sri Lanka
Law College in 2004. At the same time she was able to widen her
knowledge in the accounting field as well by completing professional
exams.

Company Law and the good governance of companies is indeed a very
practical subject, whose effective practice, however, is often marred by
the details of often-convoluted theory. Many probably would have wished
for a book that describes the subject from the point of view of the
practitioner.
A book that tells the story laws that govern companies from the
perspective of the company secretaries, directors, managers, accountants
and shareholders as they go about doing their businesses. A book that
doesn't simply lay down bland legal prose one after the other but take a
holistic view of the core subject/problem that the Company Law is there
to solve.
That of establishing, running and policing companies for the overall
betterment of human society.
Ruwani has arranged her presentation, with a precise introduction,
explaining the concept of corporate personality, classification of
companies, formation of companies, constitution of the company, changes
to the existing company practices, management and ownership, sources of
financing, capital maintenance, solvency, distribution, company records,
contracting, private companies, quoted public companies, company
litigation, winding-up, officers, shareholders, auditors, transitional
provisions and other laws applicable.
President's Counsel Dr. Harsha Cabral in his foreword states "in a
country where publications on law are minimal, the extensive scope of
this book on company law will definitely be a boon to the corporate
