NDB says AGM held on April 26

COLOMBO: With regard to our news item on the interim order restraining the holding of the 1st Annual General Meeting of NDB Bank Limited, the NDB Bank has informed us that the 1st Annual General Meeting of NDB was duly held as scheduled at 11 am on 26th April 2006, and all the resolutions including the adoption of Audited Accounts, re-election of Directors and declaration of a 60% dividend were unanimously passed by the shareholders of NDB.

The Annual General Meeting was concluded at 11.40 a.m. and the Extraordinary General Meeting of NDB that had also been convened for the same day for the purpose of approving a bonus issue of shares was also duly held at 12.noon and concluded, at which the shareholders unanimously passed the resolution for the bonus issue of one share for every two ordinary shares held.

An interim order was issued by the Court of Appeal after both the Annual General meeting and the Extraordinary General Meeting had been duly held and concluded, a NDB news release said.
